Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the ZSolTech website, jewelry software and related services (collectively, the “Services”) provided by ZSolTech Business Solutions (“ZSolTech”, “we”, “us”). By accessing or using the Services, you agree to be bound by these Terms.

Subject to these Terms and payment of applicable fees, ZSolTech grants you a non-exclusive, non-transferable right to access and use the Services for your internal business operations.

Subscriptions are priced by branch with the user allowances stated in your plan or order. Plans, billing periods and deployment options (cloud or on-premise) are described on our pricing page or in your order.

You agree not to:

• Use the Services unlawfully or in violation of any third-party rights.
• Reverse engineer, copy, resell or sublicense the Services except as permitted by law.
• Interfere with or disrupt the integrity or performance of the Services.
• Attempt to gain unauthorized access to any systems or data.

You retain all rights to the data you submit to the Services (“Customer Data”). You grant ZSolTech the limited rights necessary to host, process and deliver the Services. We handle personal data in accordance with our Privacy Policy.

Fees are due as set out in your plan or order. Unless stated otherwise, fees are non-refundable and exclusive of taxes. Late or non-payment may result in suspension of the Services.

The Services, including all software, content, branding and documentation, are owned by ZSolTech and its licensors and are protected by intellectual-property laws. No rights are granted except as expressly stated in these Terms.

We provide the Services with reasonable skill and care. Except as expressly stated, the Services are provided “as is” and “as available”, and ZSolTech disclaims all other warranties, whether express or implied, including merchantability and fitness for a particular purpose, to the maximum extent permitted by law.

To the maximum extent permitted by law, ZSolTech will not be liable for any indirect, incidental, special or consequential damages, or for loss of profits, revenue or data. Our total liability arising out of or related to the Services will not exceed the fees you paid in the twelve (12) months preceding the claim.

Either party may terminate a subscription in accordance with the order or for material breach that remains uncured after written notice. On termination, your right to use the Services ends and we will make Customer Data available for export for a reasonable period as described in your agreement.

These Terms are governed by the laws of the State of Missouri, USA, without regard to its conflict-of-laws rules. The courts located in Missouri will have exclusive jurisdiction, subject to any mandatory local law.

We may update these Terms from time to time. We will revise the “Last updated” date above and, where changes are material, provide reasonable notice. Continued use of the Services after changes take effect constitutes acceptance.
